A promoter is the person or group that founded, controls, or has significant influence over a company, and is formally identified as a promoter in its statutory filings. Promoters are subject to the strictest post-IPO lock-in and to disclosure of every share they pledge or sell.
Why it matters to you
Promoter behaviour is a powerful signal for unlisted-share investors. A high promoter holding aligns the founders' interests with yours; a falling promoter stake, or heavy pledging of promoter shares, can warn of stress. The DRHP and cap table disclose promoter holdings in detail.
Example: An investor avoided a company after spotting that promoters had pledged most of their shares to lenders — a classic balance-sheet warning sign.
