E-sign that holds up in court.
Captable signs documents the way Indian law expects them to be signed — Aadhaar e-Sign for residents, click-wrap for foreigners, both wired into the ledger so the audit trail never goes missing.

IT Act §3A — the legal basis
Section 3A of the Information Technology Act, 2000 recognises an electronic signature using a notified technique as legally equivalent to a handwritten one. Aadhaar OTP-based e-Sign is one such notified technique, governed by Schedule II of the Act and the e-authentication rules.
Aadhaar e-Sign via Digio
Captable routes Indian signatories through Digio — UIDAI-licensed ASP — for a Section 3A-compliant Aadhaar OTP signing flow. The PDF emerges with an embedded ESP signature, an audit trail, and the e-Sign certificate of completion attached.
Foreign signatories — DocuSign / Adobe Sign
Non-residents typically don't have Aadhaar, so Captable falls back to a click-wrap signature via DocuSign or Adobe Sign, both of which carry recognition under the Indian Evidence Act read with Section 65B and the IT Act's electronic-record provisions.
Audit trail, attached to the ledger
Every signed document — grant letter, board resolution, transfer deed, side letter — is stored against the ledger event it supports, with the signer's identity proof, IP, timestamp, and certificate of completion. Diligence reads it as one record.
Documents Captable e-signs out of the box.
- Grant letters (ESOP / RSU / SAR)
- Board resolutions for allotments
- Share transfer deeds (SH-4)
- Subscription agreements + side letters
- SAFE / convertible note agreements
- Tender / buyback acceptance forms
- NRI / foreign-investor declarations
- Confidentiality + IP-assignment letters
Stop printing things just to sign them.
Aadhaar e-Sign is faster, cheaper, and more legally robust than a courier. Captable wires it directly into the grant flow.
