Compliance pillar

Companies Act, 2013 — from ledger to RoC.

Every cap-table mutation maps to a Companies Act artifact. Captable doesn't just track the change — it generates the form, the resolution, and the deadline reminder.

Filing calendar.

Auto-tracked from the moment a board resolution is signed.

The audit trail that backs every filing.

PAS-3, MGT-7, DIR-12 — every form is auto-generated from this ledger.

Transaction ledger — append-only, hash-chained
seq #142

Every cap-table mutation is a row in the ledger; every row's hash chains on the previous one. Mutating any historical row breaks every subsequent hash and triggers an automatic alert. This is the source the auditor reads.

Forms and filings, generated from the ledger.

PAS-3 — Return of allotment

Within 15 days of an allotment under Section 39 of the Companies Act, every issuer must file PAS-3 with the RoC. Captable pre-fills the form from the ledger — class, paid-up amount, allottee details, and the supporting list — and generates the CS certification attachment.

MGT-7 — Annual return

The annual return under Section 92 captures the cap-table snapshot as of the last financial year. Captable freezes a year-end view, breaks out shareholders by class, and produces the MGT-7 attachment with shareholding pattern, transfers during the year, and indebtedness.

DIR-12 — Changes in directors

Director appointments, resignations, and KYC updates trigger DIR-12 within 30 days. Captable surfaces the deadline the moment a board change is recorded and pre-fills the form against the latest DIN-linked details.

Section 62 + Rule 12 — ESOP allotments

ESOP issuances under Section 62(1)(b) need a special resolution and Rule 12 of the Companies (Share Capital and Debentures) Rules disclosure. Captable templates the resolution, the explanatory statement, and the board-report disclosure straight from the plan.

The flow from grant to filing.

  1. 1. Grant approval. Board resolution under Section 62(1)(b) drafted from the plan, e-signed by directors via Digio.
  2. 2. Allotment. Ledger event records class, paid-up amount, allottee KYC + bank evidence.
  3. 3. PAS-3 packet. Form pre-filled, CS certificate attached, deadline counter starts at T+0.
  4. 4. RoC filing. CS files with the MCA portal; reference number stored against the ledger event.
  5. 5. Annual return. Year-end snapshot feeds MGT-7 attachment without re-keying.
